Parabolt legal

Terms of Service

1. Agreement

These Terms are a contract between you and Parabolt LLC, a Wyoming limited liability company ("Parabolt", "we", "us"). They cover the Parabolt website, web panel, Discord bot, browser extension, agent software and every related service (together, the "Service"). By creating an account, signing in, buying a membership or using the Service you accept these Terms, the Privacy Policy, the Risk Disclosure and the Billing, Cancellation and Refund Policy. If you turn on live trading, the Live Trading Authorization applies as well. If you do not agree, do not use the Service.

2. Words we use

Alerter
A person or community, independent of us, who posts trade alerts that the Service can read. Some communities call them callers; the two words mean the same thing. An alerter is not our employee, agent or representative.
Alert
A message an alerter posts about a trade: what, which side, at what price, and later how it is managed or closed.
Plan
The rules you save in the Service: which alerters you follow, how orders are sized, risk limits, which exits to follow, and which account they go to.
Broker
The third-party brokerage firm that holds your account and carries out your orders.
Live trading
Orders placed with real money in a live brokerage account, as opposed to paper accounts and dry runs.
Mode
How a plan works with real money: Tracking, One-click or Full auto (section 5).

3. What Parabolt is, and is not

Parabolt is self-directed software. It turns alerts into a record you can inspect and, only when you set it up to, into orders in your own account that follow the plan you wrote.

Parabolt is not a broker-dealer, investment adviser, commodity trading advisor, futures commission merchant, introducing broker, fund, custodian or money transmitter, and is not registered as any of them. In particular, we do not:

Nothing in the Service, including alerter pages, statistics, presets, emails and Discord messages, is a recommendation to buy or sell anything. If you need personal advice, ask a licensed professional.

4. Eligibility and accounts

5. Access, modes and live trading

Access. You can get access to the Service through a trading community you are a member of, at no charge from us, or through a plan we sell directly where we offer one. What you pay a community is between you and them (section 6). Which modes you can use depends on your access and your country.

ModeWhat it does with real money
TrackingNothing. Read-only tracking of your accounts, paper accounts and dry runs.
One-clickEach new entry waits for your approval on your own device before it is sent to your broker. An approval you do not give lapses; nothing is ever placed because you did not answer.
Full autoWhere we offer it, entries are sent to your broker under your saved plan without asking each time.

Live trading is available to US residents only at this time. Everyone else may use Tracking, paper accounts and dry runs. We may open, limit or close live trading for any country, mode, broker or instrument at any time, including to comply with law.

In every mode, once a position is open, the exits your plan includes (stop-losses, targets, partial exits, and following the alerter's exits if you chose that) keep running until the position is closed, so a position is never left unmanaged. You can switch any of it off, close positions yourself, or stop everything with the kill switch.

6. Alerters and their statistics

7. Your broker connection

To track or trade an account you connect it to the Service in one of three ways: by authorizing the Service through your broker, by giving the Service your broker's API keys or tokens, which we store encrypted on our servers, or by running our agent software or browser extension on your own computer, where your keys stay with you. Where a broker offers none of these, you sign in through the Service once with your username and password, which are used for that sign-in and not kept. By connecting an account you authorize us to read it and, where you have turned live trading on, to send it the orders your plan produces. You confirm that you are allowed to give that authorization and that it does not break your broker's rules. Where your broker offers separate credentials for automation, use them. You can revoke access at any time in the Service or directly with your broker. Your broker's records are the official record of your account.

Sharing your own trades. If you turn on a public portfolio page or let other members copy an account of yours, you become an alerter for that account: your fills are shown to followers as alerts, your results are shown as hypothetical statistics on the same terms as section 6, and you confirm you have the right to share them. You are not our employee or agent, you give no advice on our behalf, and anything a follower pays you through your own Whop store is between you and them. Section 6 applies to you as an alerter, and sections 14 to 16 apply to claims about your alerts.

Prop firm and funded accounts. If you connect an account a proprietary trading firm gives you, such as an evaluation, challenge or funded account, you are responsible for following that firm's rules. Many firms do not allow copying another person's trade signals, automated trading or trade copiers, and may fail an evaluation, close the account or withhold payouts if you do. We do not check, and do not guarantee, that any firm allows you to use the Service, that you will pass an evaluation, or that you will keep a funded account or receive a payout. We are not affiliated with any prop firm, and anything a firm does to your account is between you and that firm.

8. Your responsibilities

9. Fees, renewal and cancellation

Access that comes with a community you belong to is free from us. Where we sell a plan directly, it is a subscription sold through Whop at the price shown at checkout. A subscription renews automatically each period and is charged to your payment method until you cancel it in Whop. A free trial, where offered, turns into a paid subscription at its end unless you cancel before then. Details, including refunds, are in the Billing, Cancellation and Refund Policy. We may change prices for future periods with notice before the change applies to you.

10. Acceptable use

You will not: use the Service against the law or your broker's terms; manipulate markets; redistribute alerts you have no right to share; resell or share access; probe, overload or reverse engineer the Service beyond what the law allows; get around access levels, limits or country restrictions; or misrepresent who you are or what the Service is. If you find a security issue, tell us at legal@parabolt.org and we will work with you.

11. Software, outages and third parties

The Service depends on brokers, Whop, Discord, hosting and data providers and the internet, none of which we control. Alerts can be delayed, missed, duplicated or misread. Orders can be rejected, partially filled, filled at a worse price, sent late or not sent. We work to prevent this and keep safety controls in place, but we do not promise the Service will be uninterrupted, error-free or on time. A third party's failure is not a breach of these Terms by us.

Events outside our control. We are not responsible for any delay or failure caused by events we cannot reasonably control, such as a broker, exchange, network, hosting or power outage, a market halt or closure, a cyberattack, a change in law or a regulator's order, a natural disaster, war, unrest or an epidemic. While such an event lasts, our obligations are paused.

Beta features. Some features are marked beta, preview or test. They may be unfinished, change or be removed at any time, and are provided "as is" with even less assurance than the rest of the Service. Try them on a paper account before using them with real money.

12. Intellectual property

The Service, its software, design and documentation belong to us or our licensors. While you have access we give you a personal, non-exclusive, non-transferable licence to use it under these Terms. The plans and settings you create are yours. Alerts belong to the alerters who posted them.

Feedback. If you send us ideas, suggestions or feedback about the Service, you give us a free, worldwide, permanent licence to use them for any purpose, without owing you anything. You are never required to send feedback.

13. Suspension and termination

You may stop using the Service at any time; turn off live trading and disconnect your accounts first. We may suspend or end your access, pause live trading or refuse an order where we reasonably believe it is needed to protect you, other members, a third party or the Service, to follow the law or a broker's instruction, or because you broke these Terms. Where practical we will tell you why. Sections 6, 11 and 14 to 20 survive termination.

14. Disclaimers

15. Limitation of liability

Some places do not allow some of these limits. Where they do not, they apply only as far as the law permits, and nothing in these Terms limits liability for fraud, for death or personal injury caused by negligence, or any other liability the law does not let us limit.

16. Indemnity

You will cover our reasonable losses and costs from a third-party claim caused by your breach of these Terms, your misuse of the Service, or your breach of a broker's or alerter's terms.

We will tell you about such a claim promptly once we know of it, let you take over its defence with counsel we reasonably accept, and give you reasonable help at your cost. We may take part with counsel of our own at our own cost. You may not settle a claim in a way that admits fault for us or puts an obligation on us without our written consent, which we will not refuse unreasonably. If you do not take over the defence promptly, we may defend it ourselves at your cost.

17. Disputes and arbitration

Talk to us first. Before starting a claim, send a written notice describing it to legal@parabolt.org and give us 30 days to try to resolve it.

Individual arbitration. If it is not resolved, you and we agree that any dispute about the Service or these Terms will be settled by final and binding arbitration on an individual basis, administered by the American Arbitration Association under its Consumer Arbitration Rules, under the Federal Arbitration Act. Hearings may be held by video or in writing. The arbitrator may grant the same individual relief a court could. Either side may instead bring an individual claim in small-claims court, and either side may ask a court for an injunction to protect intellectual property or stop unauthorized access.

Who decides. The arbitrator decides every question about the dispute, including whether a claim must be arbitrated and whether this section is valid or enforceable, except that a court decides questions about the class action waiver and the mass filing rules below.

Fees. The AAA's Consumer Arbitration Rules set the fees. Your share of the filing fee is never more than the fee to file the claim in court, and we pay the rest of the AAA's administrative fees and the arbitrator's fees, unless the arbitrator finds your claim frivolous or brought for an improper purpose. Each side pays its own lawyers unless the law or the arbitrator awards otherwise.

Mass filings. If 25 or more similar claims are filed against us, or by us, by the same or coordinated lawyers, they are administered under the AAA's Mass Arbitration Supplementary Rules, and filing fees are owed only as each claim moves forward. Time limits to bring those claims are paused while this process runs.

No class actions. Claims may be brought only individually, not as part of a class, collective or representative action. If this waiver is found unenforceable for a claim, that claim goes to court and the rest of this section still applies.

Your right to opt out. You can opt out of this section by emailing legal@parabolt.org within 30 days of first accepting these Terms, with your name, the email or Whop account you use, and a clear statement that you opt out of arbitration. Opting out changes nothing else.

Consumers in the EU and UK keep the right to bring a claim in the courts where they live and every right the law of their country gives them that cannot be waived by contract. This section does not take those away.

To the extent the law allows, a claim must be brought within one year after it arose.

18. Governing law

These Terms are governed by the laws of the State of Wyoming and applicable US federal law, without regard to conflict-of-law rules. Any claim that is not arbitrated will be heard in the state or federal courts for Sheridan County, Wyoming, subject to section 17 for EU and UK consumers.

19. Changes

We may update these Terms. For a material change we will give at least 14 days' notice in the Service or by email before it takes effect. Using the Service after that date means you accept the change; if you do not, cancel before then.

20. General

These Terms and the documents they name are the whole agreement between you and us about the Service. If a part is unenforceable, the rest stands. Not enforcing a right is not giving it up. You may not transfer these Terms; we may transfer them with the business. Notices to us go to legal@parabolt.org; postal notices to Parabolt LLC, 30 N. Gould St. #61640, Sheridan, WY 82801, United States.
